Terms of Service

1. Acceptance of Terms

By accessing or using the GYMBOX platform, including our website (gymboxhq.com), the web-based dashboard for gym owners, and the GYMBOX mobile application (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and GYMBOX Technologies Ltd. ("GYMBOX," "we," "our," or "us"), a company incorporated under the laws of the Federal Republic of Nigeria.

2. Eligibility

To use the Service, you must be at least 18 years of age and have the legal capacity to enter into binding agreements. If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access to or use of your account

We reserve the right to suspend or terminate any account that we reasonably believe contains inaccurate information, has been compromised, or is being used in violation of these Terms.

4. Gym Owner Accounts

If you register as a gym owner, you are responsible for:

  • Ensuring that your gym's information on the platform is accurate and up-to-date
  • Managing your gym's members, staff, and settings within the platform
  • Complying with all applicable laws related to operating a fitness business, including health and safety regulations
  • Obtaining any necessary consents from your members before adding them to the platform
  • Handling member data in accordance with our Privacy Policy and applicable data protection laws

5. Subscriptions and Billing

5.1 Plans: GYMBOX offers different subscription tiers (Starter, Growth, and Pro) with varying features and member limits. The current features and pricing for each plan are available on our Pricing page.

5.2 Free Trial: We may offer a free trial period for paid plans. At the end of the trial period, you will be automatically enrolled in the paid plan unless you cancel before the trial ends.

5.3 Billing: Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select. All fees are quoted in Nigerian Naira (NGN) and are exclusive of applicable taxes unless stated otherwise.

5.4 Payment Methods: We accept payment via bank transfer, debit/credit cards, and other payment methods as indicated on the platform. You authorize us to charge your selected payment method for all fees incurred.

5.5 Price Changes: We reserve the right to modify our pricing at any time. Any price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' notice of any price increases.

5.6 Refunds: Subscription fees are generally non-refundable. However, if you believe you have been charged in error, please contact us within 14 days of the charge, and we will review your case.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service or any other systems or networks
  • Use the Service to send spam, unsolicited messages, or promotional material
  • Scrape, crawl, or use automated means to access the Service without our written consent
  • Reverse-engineer, decompile, or disassemble any part of the Service

7. User Content

7.1 Ownership: You retain ownership of all content you submit, post, or display through the Service ("User Content"), including text, images, workout data, and other materials.

7.2 License: By submitting User Content, you grant GYMBOX a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.

7.3 Responsibility: You are solely responsible for your User Content and the consequences of posting it. We do not endorse any User Content and have no obligation to monitor it, though we reserve the right to remove content that violates these Terms.

8. Intellectual Property

The Service, including its design, features, code, text, graphics, logos, and other materials, is owned by GYMBOX and is protected by Nigerian and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. Third-Party Services

The Service may integrate with or contain links to third-party services (such as payment processors or social media platforms). We are not responsible for the content, policies, or practices of any third-party services. Your use of such services is governed by their respective terms and privacy policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

GYMBOX does not provide medical, health, or fitness advice. Any information provided through the Service, including training plans and nutrition guidance, is for informational purposes only and should not be considered a substitute for professional medical advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GYMBOX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless GYMBOX and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

13. Termination

13.1 By You: You may terminate your account at any time by contacting us or using the account settings in the dashboard. Upon termination, your access to the Service will cease, and your data will be handled in accordance with our Privacy Policy.

13.2 By Us: We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or failure to pay applicable fees.

13.3 Effect of Termination: Upon termination, your right to use the Service immediately ceases. Sections of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Disclaimer, Limitation of Liability, and Indemnification) will survive.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. The arbitration shall take place in Abuja, Nigeria, and shall be conducted in English.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and, where practicable, by sending you an email notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
